These terms cover this website and the early-access list. They are short because there is not much here yet: Venture Nexus has not launched, nothing is for sale, and joining the list is not a purchase. When the product ships it will come with its own agreement, and that agreement — not this page — will govern your use of it.

01  Accepting these terms

By using venturenexus.ca or joining the early-access list you agree to these terms. If you do not agree with them, do not use the site. In these terms, "Venture Nexus", "we" and "us" mean the Venture Nexus project and its operator, Youhana Michail, based in Canada; "you" means the person using the site.

Our Privacy Policy forms part of these terms and explains what happens to the information you give us.

02  What this site is

This site describes a Mac application that is in development and is scheduled to launch on 21 September 2026. Everything shown here — screens, plans, sessions, the way Xavier writes a week — is a description of intended behaviour, produced from the product as it stands during development. It is not a specification, not a promise of features, and not a commitment to a release date. Software slips. Plans change. Anything you read here may be different, delayed, or dropped in the released product.

03  Who can use it

You must be at least 16 years old, and old enough in your own country to enter into a binding agreement, to join the list. The site is aimed at people running or starting a business. Do not sign up on someone else's behalf without their permission, and do not add an address that is not yours.

04  The early-access list

• Joining is free, and it is not a purchase, a pre-order, a licence or a reservation.
• It does not guarantee you a place in early access, a particular launch date, a particular price, or that Venture Nexus will be released at all.
• We may close, pause, limit or restructure the list at any time, and we may decide who is invited and when.
• Pricing, free-trial terms and system requirements are not settled and will be stated at launch. Anything you have seen elsewhere about them is provisional.
• Joining means we will email you — see how to stop that at any time, at no cost.

05  What you submit

The form asks your name, your email address and what you are building. You keep ownership of what you write. You grant us a non-exclusive, worldwide, royalty-free licence to use it for one narrow set of purposes: to contact you, to decide who to invite, and to understand — in aggregate, alongside other answers — what the people on this list are actually working on, so the product is built for them. We will not publish what you wrote, quote it publicly, or attribute it to you without asking you first.

You are responsible for what you send. Do not submit confidential or trade-secret information, another person's personal information, or anything you do not have the right to share. You confirm that what you submit is accurate and yours to give.

06  Acceptable use

Use the site normally. Specifically, do not:

• submit signups automatically, in bulk, or with addresses that are not yours;
• attempt to overload, probe, scan or gain unauthorised access to the site, the signup endpoint or the systems behind them;
• scrape or systematically copy the site's content, or reproduce its design or copy as your own;
• interfere with the site's operation, security or availability for anyone else;
• use the site for anything unlawful, or in breach of anyone's rights.

07  Our content

The Venture Nexus name and mark, the site's text, layout, illustrations, product screens and demonstration film are ours or licensed to us, and are protected by copyright and trade-mark law. You may read, link to and share the site as it is. You may not copy it, adapt it, or use our name or mark in a way that suggests we endorse you or are connected with you. Third-party product names and logos shown as examples belong to their owners and are used only to identify those products; their appearance is not an endorsement, partnership or integration claim unless we say so in words.

08  Third-party services and links

The site relies on third-party providers to host it, receive the form and deliver email — they are named in the Privacy Policy. Where the site links out, we do not control what is on the other side and are not responsible for it. Following a link means the other site's terms and privacy practices apply, not ours.

09  No warranty

The site and the early-access list are provided "as is" and "as available", without warranties of any kind, express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or that the site will be uninterrupted, timely, secure or error-free. Nothing on this site is legal, financial, investment, tax or professional advice, and no business outcome is promised. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

10  Limitation of liability

To the fullest extent the law allows, Venture Nexus will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost business, lost data or business interruption, arising out of or connected with the site or the early-access list, whether in contract, tort, negligence, strict liability or otherwise, even if we have been advised that such damages are possible. Our total aggregate liability to you for all claims connected with the site or the list is limited to CAD $100. Nothing in these terms limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or anything else that cannot be limited by law — including your rights under applicable consumer protection legislation, which are unaffected.

11  Indemnity

You agree to indemnify Venture Nexus against any claim, loss, liability or reasonable cost arising from your breach of these terms, your misuse of the site, or anything you submitted that you did not have the right to submit.

12  Suspension and removal

We may remove a signup, block access, or decline to invite someone, at our discretion — in particular where these terms have been broken or the signup looks automated or fraudulent. You can leave the list at any time by asking us to delete you. Sections 05 to 11 and 14 survive the end of your use of the site.

13  Changes to these terms

We may update these terms. The date at the top changes when we do, and the current version is always the one on this page. If a change materially affects people already on the list, we will email them about it. Continuing to use the site after a change means you accept the updated terms.

14  Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-laws rules. The courts of Ontario have exclusive jurisdiction, and you consent to that jurisdiction — except that if you are a consumer, this does not remove your right to bring a claim in the courts of the place where you live, or to the protection of the mandatory laws of that place.

15  General

These terms, together with the Privacy Policy, are the whole agreement between you and us about this site. If any part is found unenforceable, the rest stays in force. Not enforcing a term on one occasion does not waive it. You may not transfer your rights under these terms; we may transfer ours as part of a sale or reorganisation of the business.
